By accessing and using the website of Shift Software, you acknowledge and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services or website.

2. Service Engagement

Shift Software provides software engineering, development, design, and technical consultation services. Specific deliverables, pricing, and timelines for client engagements will be outlined in a separate Master Services Agreement (MSA) or Statement of Work (SOW) mutually signed before work begins.

3. Intellectual Property (IP) Ownership

All codebases, architectures, user interface design layouts, and assets produced during client engagements belong 100% to the client upon the successful completion of milestones and final payment, as specified under individual agreements. All pre-existing templates or frameworks remain the property of Shift Software or their respective owners.

4. Prohibited Activities

When using our website, you agree not to:

• Attempt to gain unauthorized access to our hosting environments or database records.
• Upload malware, scripts, or executing scripts meant to disrupt functionality.
• Re-distribute code frameworks or mockups provided as demos without prior written consent.

5. Limitation of Liability

Shift Software will not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use of, or inability to use, our website, materials, or services, even if we have been notified of such potential damages.

6. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. Any legal actions must be initiated in courts situated in Pune, India.

7. Changes to Terms

We reserve the right to revise these Terms of Service at any time. Your continued usage of the website or engagement in services post-revision indicates your agreement to the modified terms.
